EMPLOYEE PATIENT REFERRAL PROGRAM
OFFICIAL RULES

THIS PROGRAM HAS BEEN STRUCTURED TO COMPLY WITH ALL APPLICABLE STATE AND FEDERAL REFERRAL LAWS AND REGULATIONS AND IS INTENDED TO AVOID ANY ARRANGEMENTS THAT COULD BE CONSTRUED AS IMPROPER INDUCEMENTS.

EXCEPT AS PROVIDED BELOW, OPEN TO FIRST TIME PATIENTS ONLY. ALL PARTICIPANTS MUST BE OF 18 YEARS OF AGE OR OLDER.

By participating, you unconditionally accept and agree to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding with respect to all aspects of the Program. Without limitation, the Official Rules include a limitation of your rights and remedies.

1. Program Overview.

a. The Employee Patient Referral Program (“Program”) consists of personalized, single-use referral codes that employees may share with prospective new patients (“Participant”). Each referral code provides a $50.00 discount for a Participant spending at least $150.00 in their visit. The discount applies only to services and cannot be used toward retail product purchases.

b. The Program is sponsored by Bell Road Medical Management, Inc. dba The Aesthetic Syndicate (“Sponsor”) and is available at the following participating Manor location:

c. Manor employees are issued a personalized referral code that may be shared with a Participant. Participant will present this code to the location at the time of service and receive $50.00 off when a participant spends at least $150.00 on any eligible service(s).

2. Discount Usage Guidelines and Limitations.

a. Codes must be applied at the time of purchase and cannot be retroactively applied

b. Each code may only be redeemed once per Participant

c. Referral codes are not redeemable for cash and cannot be exchanged for other discounts or credits

d. Referral codes cannot be combined with other promotions, packages, or offers unless expressly approved by Sponsor

e. Referral codes may not be used for resale or commercial purposes

f. Sponsor reserves the right to revoke referral codes or deny redemptions in the event of misuse, abuse, fraud, or any actions inconsistent with this policy or company standards, as determined by Sponsor in its sole discretion

3. Eligibility. The discount is only valid only for first-time patients and cannot be used by existing or returning patients. Eligible Participants must be 18 years of age or older.

4. Limitations of Liability.

a. To the fullest extent permitted by law, Sponsor and its affiliates, subsidiaries, parent company, and their respective officers, directors, employees, agents, and representatives shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of, misuse of, or inability to use any discount code. Sponsor does not guarantee that discount codes will be error-free, uninterrupted, or always available. In no event shall Sponsor’s total liability exceed the actual amount paid by the participant for the product or service in question, after applying the discount code.

b. BY ENTERING, YOU AGREE TO RELEASE, DISCHARGE, INDEMNIFY AND HOLD HARMLESS THE SPONSOR, AND AFFILIATES, SUBSIDIARIES, PARENT, ADVERTISING AND PROMOTION AGENCIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, MEMBERS, SHAREHOLDERS, EMPLOYEES, AGENTS, REPRESENTATIVES FROM AND AGAINST ALL CLAIMS AND DAMAGES OR LIABILITY ARISING IN CONNECTION WITH YOUR PARTICIPATION IN THE PROGRAM AND/OR YOUR RECEIPT OF ANY VALUE AWARDED IN THIS PROGRAM OR DUE TO ANY INJURIES, DAMAGES OR LOSSES TO ANY PERSON (INCLUDING DEATH) OR PROPERTY OF ANY KIND RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE OR USE OF ANY VALUE OR PARTICIPATION IN THIS PROGRAM.

c. The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.

5. Disputes and Governing Law.

a. All issues and questions concerning the construction, validity, interpretation and enforceability of these rules, or the rights and obligations of any Participant or the Sponsor in connection with the Program, and all claims or cause of actions (whether in contract, tort or statute) that may be based upon, arise out of or relate to the Program, will be governed by, and enforced in accordance with, the internal substantive and procedural laws of the state of Arizona without giving effect to any laws, rules or provisions of the state of Arizona that would cause the application of the laws rules or provisions of any jurisdiction other than the state of Arizona, including its statutes of limitations, without regard to any borrowing statute that would result in the application of the statute of limitations of any other jurisdiction.

b. You irrevocably submit to the exclusive jurisdiction of any state or federal court in (or with jurisdiction over) Maricopa County, Arizona with respect to any action or proceeding arising out of or relating to the Program. You consent to and grant to any such court exclusive jurisdiction over the persons of you and over the subject matter of any such dispute.

c. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS PROMOTION. YOU WAIVE ANY RIGHTS OR CLAIMS TO ATTORNEY'S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT, IDENTIFIABLE PERSONS, OR THIRD-PARTY PARTICIPANTS, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE.

6. Waiver of Jury Trial. PARTICIPANTS EXPRESSLY WAIVE TRIAL BY JURY IN ANY JUDICIAL PROCEEDING INVOLVING ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THE PROGRAM.

7. Severability. The provisions of these rules are severable. The invalidity, in whole or in part, of any provision of these rules will not affect the enforceability of any other provisions. If one or more provisions of these rules are declared unenforceable, the remaining provisions will be enforceable and will be construed in the broadest possible manner to effectuate the purposes of these rules.
